Terms of Service

1. Agreement to Terms

By accessing and using the services provided by VeduCoffee LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and VeduCoffee LLC. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on our website.

2. Services Description

VeduCoffee LLC provides software development services, including but not limited to:

• Custom software development and programming
• Web and mobile application development
• Cloud solutions and DevOps services
• UI/UX design and development
• API development and integration
• Technology consulting and advisory services
• Software maintenance and support

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and current information necessary for project execution
• Respond promptly to requests for information, feedback, or approvals
• Respect intellectual property rights and not use our services for illegal purposes
• Maintain confidentiality of any proprietary information shared during the project
• Make timely payments as agreed upon in project contracts

4. Intellectual Property Rights

4.1 Client-Owned Work

Upon full payment for services rendered, all custom-developed software, code, designs, and deliverables created specifically for you will be transferred to you, subject to any third-party licenses or open-source components used in the project.

4.2 Our Proprietary Materials

All pre-existing tools, frameworks, methodologies, templates, and proprietary technologies developed by VeduCoffee LLC remain our exclusive property and may be used in other projects.

4.3 Third-Party Components

Projects may incorporate third-party libraries, frameworks, or open-source software subject to their respective licenses. You are responsible for compliance with such licenses.

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Projects may require an initial deposit before work commences
• Milestone payments may be required for larger projects
• Final payment is due upon project completion and delivery
• Late payments may incur interest charges as specified in the project agreement
• All fees are non-refundable unless otherwise specified in writing

6. Project Scope and Changes

The scope of work for each project will be defined in a separate project agreement or statement of work. Any changes to the project scope, timeline, or budget must be agreed upon in writing by both parties.

Additional work requested beyond the original scope will be billed separately at our standard hourly rates or as agreed upon in a change order.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We will correct any defects in our work that are reported within the warranty period specified in the project agreement.

7.2 No Guarantees

We do not guarantee that our services will meet all of your requirements or that the operation of delivered software will be uninterrupted or error-free. We are not responsible for issues arising from:

• Third-party services or integrations
• Changes to your requirements after project completion
• Modifications made by you or third parties to delivered code
• Hardware or infrastructure issues

8. Limitation of Liability

To the maximum extent permitted by law, VeduCoffee LLC's total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes:

• Business strategies and plans
• Technical specifications and architecture
• Source code and proprietary algorithms
• Financial information
• Customer and user data

This obligation survives termination of our services agreement.

10. Termination

Either party may terminate a project agreement with written notice. Upon termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work and materials
• Confidentiality obligations will continue to apply
• Each party will return or destroy confidential information of the other

11. Indemnification

You agree to indemnify and hold harmless VeduCoffee LLC, its employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of delivered software or services
• Your violation of these Terms
• Your infringement of any third-party rights
• Your provision of inaccurate or incomplete information

12. Dispute Resolution

In the event of any dispute arising from these Terms or our services, both parties agree to first attempt to resolve the matter through good faith negotiations.

If negotiations fail, disputes will be resolved through binding arbitration in accordance with the laws of Armenia, or through the appropriate courts of Yerevan, Armenia, as applicable.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or internet failures.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and VeduCoffee LLC regarding the subject matter herein.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor or affiliate.

14.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of law provisions.
